AGREEMENT TO OUR LEGAL TERMS

We are P/E Danylo Klymenko, doing business as OfferFlow (“Company,” “we,” “us,” “our”), registered in Georgia at Tbel Abuseridze street, N 38, flat N 63, Batumi, Adjara 6010, Georgia.

We operate the website https://offerflow.pro (the “Site”) and the web application https://app.offerflow.pro (the “App”), and any other related products and services that refer or link to these terms (collectively, the “Services”). These Terms and Conditions (these “Legal Terms”) form a legally binding agreement between you (“you”) and us regarding your access to and use of the Services.

1. OUR SERVICES

OfferFlow provides tools for job seekers to improve and manage career documents (including CV/resume and cover letters) using AI-powered functionality and to track job search activities and stages (for example, applications, interviews, and notes).

The Services are not intended for distribution to, or use by, any person or entity in any jurisdiction where such distribution or use would be contrary to law or would subject us to any registration requirement. If you access the Services from outside Georgia, you do so at your own initiative and are responsible for compliance with local laws.

The Services are not designed to comply with industry-specific regulations such as HIPAA, FISMA, or GLBA. Do not use the Services in a way that would subject us to such laws or require compliance with them.

2. ELIGIBILITY AND USER REPRESENTATIONS

By using the Services, you represent and warrant that:

You are at least 18 years old and have legal capacity to enter into these Legal Terms.
Information you provide to us is accurate, current, and complete, and you will update it as needed.
You will not use the Services for unlawful purposes or in violation of any applicable laws or regulations.
You will not access the Services through automated or non-human means (except ordinary search engine indexing or as expressly permitted by us).
Your use of the Services will not infringe any third-party rights (including intellectual property and privacy rights).

If you provide false, inaccurate, outdated, or incomplete information, we may suspend or terminate your account and refuse any current or future use of the Services.

3. USER ACCOUNTS AND SECURITY

You may be required to register for an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You agree to:

Use strong passwords and keep them confidential.
Notify us promptly of any unauthorized use of your account.
Not share, sell, or transfer your account to anyone else.

We may remove, reclaim, or change a username if we determine, in our sole discretion, that it is inappropriate, misleading, or otherwise objectionable.

4. PURCHASES, PAYMENTS, AND TAXES

If you purchase access to paid features, your payment will be processed by our merchant-of-record / payment provider (for example, Paddle) and its payment partners. Payment methods available to you may vary by location and will be displayed at checkout.

You agree to provide current, complete, and accurate billing and purchase information and to keep it updated. Prices may change at any time (subject to applicable law and, where required, prior notice).

Taxes (including VAT/GST/sales tax) may be added or collected as required by law.

Unless otherwise stated at checkout, charges are in US dollars.

We reserve the right to refuse or cancel orders in our sole discretion, including in cases of suspected fraud or unauthorized transactions.

5. AI FEATURES AND IMPORTANT DISCLAIMERS

5.1 AI features

Some features of the Services use artificial intelligence models and related services (“AI Features”). AI Features may generate suggestions, edits, summaries, structure, or rewritten text based on inputs you provide (e.g., resume text, job descriptions, and prompts).

5.2 Your responsibility for outputs

AI-generated content may be inaccurate, incomplete, misleading, or inappropriate for your specific situation. You are solely responsible for reviewing, editing, and verifying any AI outputs before using them, including before submitting any documents to an employer or third party.

5.3 No employment guarantee

We do not guarantee interviews, offers, employment outcomes, compensation results, or any specific job search success.

5.4 Prohibited inputs

You must not submit content that:

Violates applicable law,
Infringes third-party rights,
Contains malware or attempts to exploit systems,
Is used to harass, threaten, or defraud others.

We may suspend or terminate access to AI Features (or your account) if we reasonably believe misuse has occurred.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Our intellectual property

We own or license all intellectual property rights in and to the Services, including software, designs, databases, and site content (collectively, “Content”), and trademarks, service marks, and logos (“Marks”).

6.2 License to you

Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use (unless you have a plan that expressly permits business use).

Except as expressly permitted, you may not copy, reproduce, republish, distribute, sell, license, reverse engineer, or exploit any part of the Services, Content, or Marks without our prior written permission.

7. YOUR CONTENT AND LICENSE TO OPERATE THE SERVICES

7.1 Your ownership

You retain all rights to the content you submit, upload, or create within the Services, including resumes, cover letters, and job search notes (“User Content”). We do not claim ownership over your User Content.

7.2 License you grant to us

You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, display, and otherwise use your User Content solely to:

Provide and operate the Services,
Enable requested features (including AI Features),
Maintain, secure, and improve the Services,
Comply with law and enforce these Legal Terms.

This license includes the right to create technical copies (including backups) and to process User Content through our service providers (including AI providers) as necessary to provide the Services.

7.3 Feedback

If you send us suggestions, ideas, or feedback, you grant us the right to use them without restriction or compensation.

8. PROHIBITED ACTIVITIES

You agree not to:

Use the Services for unlawful, harmful, or fraudulent purposes.
Interfere with or disrupt security-related features of the Services.
Attempt to gain unauthorized access to accounts, systems, or networks.
Upload malware, viruses, or other harmful code.
Scrape, crawl, or systematically extract data from the Services without written permission.
Reverse engineer, decompile, or attempt to derive source code from the Services (except to the extent permitted by applicable law).
Impersonate any person or entity, or misrepresent your affiliation.
Use the Services to harass, abuse, intimidate, or threaten any person.
Upload content that infringes intellectual property, privacy, or publicity rights.
Sell, transfer, or share your account access.
Use the Services to build a competing product or service.

We may investigate and take appropriate action for violations, including suspending or terminating accounts and, where appropriate, reporting to law enforcement.

9. THIRD-PARTY SERVICES AND LINKS

The Services may integrate with or rely on third-party providers (for example, payment processing, hosting infrastructure, and AI model providers). Your use of third-party services may be subject to those providers’ terms and policies.

We may link to third-party websites or resources. We are not responsible for third-party content, policies, or practices. Your dealings with third parties are solely between you and the third party.

Upon termination:

Your right to access the Services will stop immediately.
Certain provisions (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

12. MODIFICATIONS AND INTERRUPTIONS

We may change, modify, or remove features or content of the Services at any time. We do not guarantee that the Services will be available at all times. We may experience downtime, maintenance, or technical issues.

We are not liable for interruptions, delays, or inability to access the Services.

13. DISCLAIMER

THE SERVICES (INCLUDING AI FEATURES AND OUTPUTS) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES.

14. LIMITATIONS OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US (IF ANY) FOR THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in such cases, these limitations apply to the fullest extent permitted by law.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless OfferFlow and its affiliates, and our respective officers, agents, and employees, from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the Services,
Your User Content,
Your violation of these Legal Terms,
Your violation of applicable law or third-party rights.

16. USER DATA AND BACKUPS

We may maintain data you transmit to the Services to operate and improve the Services. You are responsible for maintaining your own backups of important content. While we may perform routine backups, we do not guarantee that your data can always be recovered.

17. ELECTRONIC COMMUNICATIONS AND SIGNATURES

By using the Services, you consent to receive electronic communications from us (e.g., emails, in-app notices). You agree that electronic agreements, notices, disclosures, and communications satisfy any legal requirement that such communications be in writing.

18. GOVERNING LAW

These Legal Terms are governed by the laws of Georgia, without regard to conflict of law principles.

19. DISPUTE RESOLUTION

19.1 Informal resolution first

Before bringing a formal claim, you agree to contact us at contact@offerflow.pro and attempt to resolve the dispute informally for at least 30 days.

19.2 Courts and jurisdiction

If a dispute is not resolved informally, you agree that the courts of Georgia will have jurisdiction over the dispute, unless applicable law requires otherwise.

20. MISCELLANEOUS

If any provision of these Legal Terms is found unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision is not a waiver.
You may not assign your rights or obligations without our consent; we may assign our rights and obligations as part of a merger, acquisition, or sale of assets.
